Welcome to Kairos, a professional AI services company registered and operating in Dubai, United Arab Emirates. These Terms and Conditions (“Terms”) govern your access to our website and your engagement with our services, including custom AI platform development, AI training data operations, AI-managed services, and related consulting.

By accessing our website or entering into a service agreement with Kairos, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please discontinue use of our website and services.

Kairos provides the following AI and technology services to businesses in Dubai, the UAE, and internationally:

• Custom AI Platform Development (BUILD) — End-to-end AI product builds: architecture, agents, interface, and production deployment.
• AI Training Data Operations (FEED) — In-house data labeling, voice and speech corpus collection, document annotation, and dataset engineering.
• AI Managed Services and Operations (RUN) — Specialist operators who monitor, tune, and maintain AI systems day to day.
• AI Feasibility Audits — One-week technical assessments of AI viability, cost, and architecture for a given business problem.
• AI Agent Systems — Multi-agent orchestration with memory, tool use, and escalation paths.

The specific scope, deliverables, milestones, and fees for each engagement are defined in a separate Service Agreement or Statement of Work (SOW) executed between Kairos and the client.

To ensure successful delivery of services, clients are required to:

• Provide accurate, complete, and timely information, data assets, and approvals
• Respond to feedback requests and review cycles within agreed timeframes
• Ensure that all content, data, images, and materials provided do not infringe upon any third-party intellectual property or data rights
• Honour all payment obligations as outlined in the applicable Service Agreement
• Comply with applicable laws regarding the data provided for labeling or model training

All pricing, payment milestones, and invoice schedules are outlined in each project's Service Agreement. General payment terms include:

• A deposit may be required prior to project commencement, as specified in the agreement
• Invoices are payable within the timeframe stated in the Service Agreement
• Overdue payments may be subject to late payment charges
• Kairos reserves the right to pause or suspend services in the event of outstanding payments
• All fees are quoted and payable in the currency specified in the Service Agreement

Upon receipt of full payment, the client shall own the final deliverables created specifically for their project. Kairos retains ownership of all proprietary tools, frameworks, code libraries, AI development methodologies, labeling pipelines, and pre-existing intellectual property used during the project.

Kairos reserves the right to reference completed projects in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing prior to project completion.

Both Kairos and the client agree to maintain strict confidentiality regarding any proprietary, commercially sensitive, or non-public information disclosed during the engagement. This obligation remains in force following the conclusion or termination of any service agreement.

All client data provided for labeling or model training purposes is handled exclusively in-house and is never shared with external third-party marketplaces or labeling vendors without explicit written consent.

To the maximum extent permitted under UAE law, Kairos shall not be liable for indirect, consequential, incidental, or special damages, including but not limited to loss of business, revenue, data, or anticipated profits arising from the use of our services or website.

Kairos's total aggregate liability in connection with any single project shall not exceed the total fees paid by the client for that specific project.

Kairos commits to delivering all services with professional skill, care, and diligence in accordance with industry standards. However, we do not guarantee specific commercial or model-performance outcomes, including but not limited to AI accuracy benchmarks, inference latency targets, or business revenue, as these are subject to data quality, deployment conditions, and market variables beyond our control.

Our website is provided on an “as is” basis. Kairos makes no warranties, express or implied, regarding the uninterrupted availability or error-free operation of the website.

Either party may terminate a service engagement by providing written notice in accordance with the terms set out in the applicable Service Agreement. Upon termination:

• The client remains liable for payment of all services rendered up to the termination date
• All confidentiality obligations remain in effect
• Deliverables completed and paid for will be transferred to the client

Kairos reserves the right to terminate services immediately and without notice in cases of material breach of these Terms or non-payment.

These Terms and Conditions, and any disputes arising from them, shall be governed by and interpreted in accordance with the laws of the United Arab Emirates, as applicable in the Emirate of Dubai.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If the matter remains unresolved, it shall be referred to the competent courts of the Emirate of Dubai, UAE.

Kairos reserves the right to revise these Terms and Conditions at any time. Updates will be published on this page with a revised effective date. Your continued use of our website or services following any changes constitutes your acceptance of the updated Terms.
